Terms of Service

1. Introduction

Welcome to InstaInvoice (“we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of InstaInvoice's web services (the “Service”), including invoicing, client management, and payment tracking. By creating an account or using the Service, you agree to these Terms.

2. Who May Use the Service

You must be at least 18 years old and legally able to form binding contracts. If you use the Service on behalf of a company, you represent that you have authority to bind that entity to these Terms.

3. Services Provided

InstaInvoice provides tools to create and manage invoices, generate branded PDF invoices, send invoices to your clients by email, share invoices via public links, record payments against invoices, and manage client records. The Service is currently offered as a beta; features may change, and we may offer additional features and paid plans over time.

4. Account Registration

You must register for an account to use certain features. You are responsible for keeping your credentials secure and for any activity that occurs under your account. Notify us immediately of any unauthorised use.

6. Payments Between You and Your Clients

InstaInvoice does not process, hold, or transmit payments between you and your clients. Payment records you enter in the Service are bookkeeping entries only. You are solely responsible for collecting payment from your clients, for the accuracy of the invoices you issue, and for any tax or regulatory obligations that apply to your invoicing.

We store your data on managed third-party services. You are responsible for maintaining your own backups as appropriate; we aim to provide reasonable data durability but do not guarantee uninterrupted access.

9. Communications

By using the Service you consent to transactional email and in-app messages related to your account and invoices (e.g., email verification, password reset, invoice delivery). We do not send marketing messages during the beta.

10. Acceptable Use

You agree not to:

• Reverse engineer or attempt to access non-public portions of the Service;
• Use the Service to violate laws or rights of third parties;
• Attempt to gain unauthorised access to other accounts;
• Use the Service to send spam or unsolicited communication.

11. Intellectual Property

All InstaInvoice software, logos, and materials are our intellectual property or licensed to us. You may not use our trademarks without prior written consent.

12. Termination & Suspension

We may suspend or terminate your access for violations of these Terms. You may stop using the Service and request account deletion at any time by contacting us.

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSTAINVOICE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. THE SERVICE IS IN BETA: FEATURES MAY CHANGE, BE INTERRUPTED, OR BE DISCONTINUED, AND YOU SHOULD KEEP YOUR OWN COPIES OF IMPORTANT INVOICES AND RECORDS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL INSTAINVOICE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES IS LIMITED TO FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless InstaInvoice and its affiliates from any claims arising from your violation of these Terms or misuse of the Service.

16. Changes to Terms

We may modify these Terms. If changes are material, we will provide notice by email or in-app. Continued use after changes constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of Singapore. Disputes will first be attempted to resolve informally. If unresolved, disputes will be referred to binding arbitration in Singapore.
